Deposit of the source code

Software escrow is one of the best methods to protect oneself if the software developer goes bankrupt. PBRD, as one of the first companies in Poland, has started to offer services related to software escrow providing legal and technical operation of such a process.

In practice, software escrow means that the licensor saves source code at the depositary and, simultaneously, authorizes the licensee to take the source code for further usage in cases defined in software escrow agreement, such as: bankruptcy, hostile takeover, liquidation of a software producer’ company, or if the application is no longer developed by a licensor.

Software escrow is commonly used worldwide both by public institutions as well as private companies. It is often required in public tenders’ specifications and draft contracts, and its costs are covered directly by contract performers. This practice will be applied more and more often in Poland in near future.

Until now the role of a depositary has been played by banks or notary’s offices. Such solutions, apart from formal and legal support, do not provide a suitable technical support offered by people that have the expertise of creating, developing and storing source code. Without such knowledge depositary in not able to verify if the source code saved is complete, compilable and properly described.
